Board and Committee Evaluation
We consider that regular reviews of board effectiveness are important and thus the evaluation of Board of Directors and/or its Committees is an important governance discipline.
The Combined Code highlights to quoted companies the importance of the evaluation process, but many companies have not greeted the regime with enthusiasm. In his report on corporate governance Sir Derek Higgs suggested that although it is for each company Chairman to determine which is the most appropriate process to adopt for evaluation of the Board, the use of third parties to conduct an evaluation would bring objectivity to the process.
